Count Plugin Terms

For free accounts

Welcome to Count! Please read these terms before you use the Count plugin for AI assistants (the “Plugin”). They are a contract between you and Count Technologies Ltd (“Count”, “we” or “us”).

These terms apply to free Plugin accounts. Different terms apply in two cases:

  • If you use the Plugin through your organisation’s paid Count Canvas workspace, your organisation’s agreement with Count applies instead, together with the Plugin Supplement.
  • If you pay for the Plugin yourself, the Plugin Business Terms apply.

If you can’t tell which terms apply to you, please get in touch. Our Privacy Notice explains how we collect and use personal data, including through the Plugin.

1. About the Plugin

What it does. The Plugin runs inside third party AI assistants, currently Claude. While capture is on, it records the prompts, tool activity and responses from your assistant sessions on your device, along with anything in them (your “content”). Capture is off by default.

Reasoning and reviews. Your content leaves your device only if you turn on reasoning. It is then uploaded to our servers and sent to our review providers to produce reviews. Reviews are AI-generated and can be wrong, so please check them before you rely on them.

Pausing. You can pause reasoning for an hour, until tomorrow, or until you turn it back on. While reasoning is paused, content is not recorded on your device.

Early access. The Plugin is in early access, which means it’s changing quickly. We may add, change or remove features, and we may pause or withdraw it. We’ll tell you when early access ends.

Your licence. You have a limited, personal, revocable licence to use the Plugin for your own internal business or academic purposes. We may release updates, which you install yourself, and we may require an update to keep using the Plugin (for example, for security or compatibility). You can uninstall the Plugin at any time.

2. Your account

Who can use it. You must be at least 18 and use the Plugin for professional or academic purposes, not as a consumer. You must be either acting for yourself or authorised by your organisation to accept these terms and to let us use your content as set out below. Your organisation must not hold a paid Count Canvas workspace. If it does, its agreement applies instead.

Work email addresses. If your email address belongs to an organisation that is a Count customer, we may ask you to link your account to its workspace before you can turn on reasoning. Once linked, your organisation’s agreement applies instead of these terms.

Keeping your account safe. Please don’t share your login. You’re responsible for what happens under your account, so tell us at security@count.co if you think someone else has used it.

3. Using the Plugin

Please use the Plugin lawfully and sensibly. In particular:

  • Only capture information you’re allowed to share with us and our providers.
  • Don’t capture sensitive personal data, such as health data, other special category data, payment card numbers, government identifiers, passwords, API keys or other secrets.
  • Don’t upload personal data about other people, or your employer’s or clients’ confidential information, unless you have the right to share it with us for the purposes in section 4.
  • Pause reasoning before any session that involves information you’re not permitted to share.

We may delete content that breaks these rules.

4. Your content

What we collect. We collect your account details, usage data (such as your device, operating system, Plugin version and how you use the Plugin) and, only if you turn on reasoning, your content. We don’t receive your content while reasoning is off.

You own it. You keep ownership of your content.

How we use your content. If you turn on reasoning, we use your content to run your reviews, keep the Plugin safe, develop and improve the Plugin and Count’s other products, license de-identified or aggregated datasets (see “Our licence”), and meet our legal obligations. That includes training, fine-tuning and evaluating models that analyse and review AI assistant sessions. We never use it to train general-purpose text-generation models. Before you turn on reasoning we’ll tell you this in plain words, and turning on reasoning is your agreement to it.

Stopping. You can turn reasoning off at any time, and that stops any further uploads. We can’t undo training that has already happened, but we won’t use your content for any further training, and we’ll delete it as set out below. Turning reasoning off also doesn’t recall datasets we’ve already licensed to third parties, but we won’t include your content in any new ones.

Our licence. You give us a worldwide, royalty-free licence to host, copy, process, analyse and use your content for these purposes, including through the providers described below. We may keep de-identified or aggregated data derived from your content, and we may license datasets made from it to third parties. These datasets won’t identify you. We won’t publish your content or name you as its source.

Who else sees it. We share your content only with providers who help us run the Plugin (for example hosting, logging, error tracking and the review providers), under contracts that limit what they can do with it. They’re listed at trust.count.co/subprocessors. We don’t allow them to use your content to train their own models. We may also share it where the law requires, or with a successor if our business is sold. Datasets made from de-identified or aggregated data are covered under “Our licence” above.

Where it’s processed. Count runs separate EU and US regions. When you use the Plugin, your content is stored and processed in the region of the Count account you’re signed in to: the EU if it’s an EU account, otherwise the United States, which is also where it goes if you’re not signed in to a Count account. If you have accounts in both regions, it’s whichever one you’re signed in to at the time. Our Privacy Notice explains how we protect international transfers.

Keeping and deleting it. We keep your content while your account is open, so we can show you your reviews and improve the Plugin. You can ask us in writing to delete it, and we’ll delete it within 30 days of your request. Deleting your content doesn’t undo training that has already happened or recall datasets we’ve already licensed (see “Stopping”).

Your rights. You have rights over your personal data, including to access, correct and delete it. Our Privacy Notice explains them and how to use them.

5. Your AI assistant

Your assistant’s rules. The Plugin runs inside AI assistants provided by other companies, under your own agreement with them. We don’t control those assistants, and we’re not responsible for their availability, their changes or how they handle your sessions. Your assistant’s provider has its own rules about what you can do with its responses, and some limit using them to train other models. By turning on reasoning you’re telling us you’re allowed to share your sessions with us. If your assistant account comes from work or school, check with them first. We only use assistant responses in ways those rules allow, and never to train general-purpose text-generation models.

New assistants. We may add support for other assistants from time to time, and these terms apply to your use of the Plugin with any of them. We may stop supporting an assistant, and will tell you if we do.

6. Feedback

We appreciate feedback. If you give us any, we may use it without restriction or payment to you.

7. Changes, suspension and ending

Changes to these terms. We may update these terms. We’ll ask you to accept them again before any material change.

Suspending or ending your account. You can stop using the Plugin at any time. We may suspend or end a free account at any time. Suspending or withdrawing the Plugin doesn’t change how we handle content you’ve already uploaded.

If your account type changes. If your account becomes covered by a paid agreement or subscription, the paid terms apply to content captured from that point. Content you’ve already uploaded stays under these terms. If a paid account later becomes a free one, we’ll ask you to accept these terms before uploading anything new.

8. What we can’t promise

We work hard on the Plugin, but some things we can’t guarantee. The Plugin and its reviews are free and provided “as is”. Reviews can be wrong, and we don’t promise the Plugin will always be available or error-free.

Our total liability to you for the Plugin is limited to the greater of the fees you’ve paid us for it in the 12 months before the event (which for a free account is nothing) and US$50. This doesn’t limit any liability the law doesn’t allow us to limit, including liability for death or personal injury caused by our negligence, for fraud, or to individuals for their data protection rights.

9. General

Governing law. These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

Count Plugin Business Terms

For people and organisations who buy a Plugin subscription

Welcome to Count! These terms are a contract between you (the person or organisation that buys a Plugin subscription, the “Subscriber”) and Count Technologies Ltd (“Count”, “we” or “us”). They cover the Count plugin for AI assistants (the “Plugin”).

They apply if you subscribe to the Plugin directly and no Count customer agreement covers the Plugin for you. If you use the Plugin through your organisation’s paid Count Canvas workspace, your organisation’s agreement applies instead (see the Plugin Supplement). If you use the Plugin for free, the Plugin Terms apply. The Plugin Data Processing Terms at the end of this document are part of these terms. Our Privacy Notice covers the account and billing details we hold about you.

If you can’t tell which terms apply to you, please get in touch.

1. About the Plugin

What it does. The Plugin runs inside third party AI assistants, currently Claude. While capture is on, it records the prompts, tool activity and responses from your assistant sessions on your device, along with anything in them (your “content”). Capture is off by default.

Reasoning and reviews. Your content leaves your device only if reasoning is turned on. It is then uploaded to our servers and sent to our review providers to produce reviews. Reviews are AI-generated and can be wrong, so please check them before you rely on them. You can pause reasoning for an hour, until tomorrow, or until you turn it back on. While reasoning is paused, content is not recorded on your device.

Early access. The Plugin is in early access, so it’s provided “as is” and may change. We may pause or withdraw it, and we’ll tell you when early access ends. None of that changes how we handle content you’ve already uploaded.

Your licence. You have a limited, non-transferable, revocable licence to use the Plugin for your internal business or academic purposes. We may release updates, which you install yourself, and we may require an update to keep using the Plugin (for example, for security or compatibility). You can uninstall the Plugin at any time.

2. Subscribing

Who can subscribe. You confirm that you are at least 18, that you use the Plugin for professional or academic purposes and not as a consumer, and that, if you buy for an organisation, you are authorised to bind it. The subscription doesn’t include access to the Count Canvas platform, which needs a Count account under the Count Terms of Use or a customer agreement.

Who accepts. The person who buys the subscription accepts these terms for the Subscriber, confirming that they are authorised to do so. Other users acknowledge them when they install the Plugin.

Fees. The fees and billing terms are those shown when you subscribe. Prepaid fees are refundable only where these terms say so: if you end the subscription because we breach these terms, or if you object to a new sub-processor under section 4 and cancel.

Health information regulated by HIPAA must not be submitted.
  • Pause reasoning before any session that involves information you’re not permitted to share.

Your responsibilities as controller. You decide what you capture, so you’re responsible for having a lawful basis, and giving any notices needed, for personal data in it. We don’t promise compliance with laws specific to your territory.

Your AI assistant. The Plugin runs inside AI assistants provided by other companies, under your own agreement with them. We don’t control those assistants, and we’re not responsible for their availability, their changes or how they handle your sessions. By turning on reasoning you’re telling us you may share your sessions with us under that agreement. We may add support for other assistants, and these terms apply to them. We may stop supporting an assistant, and will tell you if we do.

4. Your content

You own it. You keep ownership of your content. For personal data in it, you’re the controller and we’re your processor. The Plugin Data Processing Terms set out what that means.

What we do with it. We process your content only to provide the Plugin and reviews to you, and only on your documented instructions. We don’t use it to train or improve AI models, or for any other purpose of our own, and we don’t let anyone else. Count staff look at it only for support or bug fixing you’ve asked for. The usage data we collect about the Plugin doesn’t include your content.

Turning it on. Capture and reasoning are off by default. Turning on reasoning (for yourself or, on a team subscription, by the Subscriber’s admin) is your instruction to process your content to provide reviews.

Where it’s processed. Count runs separate EU and US regions. Your content is stored and processed in the region of the Count account you’re signed in to when you use the Plugin: the EU if it’s an EU account, otherwise the United States, which is also where it goes if you’re not signed in to a Count account. You instruct us to process it there. Where personal data from the UK or the EEA goes to the United States, transfers rely on the safeguards in section 3 of the Plugin Data Processing Terms.

Sub-processors. You give general authorisation for the sub-processors listed at trust.count.co/subprocessors. We’ll email the Subscriber’s account contact and update the list at least 14 days before adding or replacing one. You can object in writing within that period on reasonable data protection grounds. If we can’t resolve it, you can stop using the Plugin and cancel, and we’ll refund prepaid fees for the unused period. We put equivalent data protection terms in place with every sub-processor and remain responsible for them.

Security, incidents, audit and deletion. These are covered in the Plugin Data Processing Terms.

5. Changes and ending

Changes to these terms. We may update these terms. We’ll ask you to accept them again before any material change.

If your subscription ends. If your subscription ends or lapses, we won’t quietly move you onto our free terms. Reasoning stops until you choose what to do next. Content you’ve already uploaded stays under these terms and is deleted as the Plugin Data Processing Terms say.

6. What we can’t promise

We work hard on the Plugin, but some things we can’t guarantee. During early access the Plugin is provided “as is”, and reviews can be wrong. Our total liability to the Subscriber for the Plugin is limited to the fees paid for the Plugin in the 12 months before the event, except where the law doesn’t allow it.

7. General

Governing law. These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

Plugin Data Processing Terms

These terms apply when we process personal data in your content for you as your processor. They are part of the Plugin Business Terms. If they conflict with the rest of those terms on data protection, these terms win. The transfer provisions in section 3 win over both for the transfers they cover. Liability is governed by section 6 of the Plugin Business Terms.

1. Details of the processing

Subject matter. Count’s provision of the Plugin and reviews to the Subscriber.

Nature and purpose. Receiving, storing, analysing (including by AI review) and transmitting your content, in order to provide the Plugin and reviews.

Duration. From the first upload until deletion under section 2(h).

Types of personal data. Any personal data contained in your content, which Count does not control and which depends on what the Subscriber captures.

Data subjects. Those the Subscriber’s content relates to, as the Subscriber determines.

Special category data. Not to be submitted. Count has no liability for it if it is.

2. What Count will do as your processor

Count will:

(a) process personal data only on the Subscriber’s documented instructions (these terms and the Plugin settings), or as UK or EU law requires, in which case tell the Subscriber first unless the law prohibits it;

(b) tell the Subscriber if it believes an instruction infringes data protection law;

(c) make sure everyone with access is bound by confidentiality and has access only as needed;

(d) keep appropriate technical and organisational measures, including those at trust.count.co, such as encryption in transit and at rest, least-privilege access, logging, vulnerability management and annual independent testing;

(e) engage sub-processors only as section 4 of the Plugin Business Terms allows, on equivalent written terms;

(f) help the Subscriber, taking account of the nature of the processing, with data subject requests, security, breach notification, impact assessments and consultation with regulators, at reasonable agreed fees for anything beyond routine help;

(g) tell the Subscriber without undue delay, and in any event within 72 hours of becoming aware, of a personal data breach affecting the Subscriber’s content;

(h) delete the Subscriber’s content within 30 days of the end of the subscription, or at the written request of the Subscriber, returning it first on request, unless the law requires us to keep it, and confirm deletion in writing on request; and

(i) provide the information needed to show compliance and allow an audit by the Subscriber or its auditor once a year, on 30 days’ notice and at the Subscriber’s cost, accepting a current independent report (such as SOC 2 Type 2) in place of an audit of the controls it covers.

3. International transfers

Count is established in the UK. Content from Subscriber accounts is processed in the region of the Count account the Subscriber is signed in to: the EU if it’s an EU account, otherwise the United States. Where content goes to the United States, transfers rely, as applicable, on (a) the UK International Data Transfer Agreement or Addendum, (b) the EU Standard Contractual Clauses (Module Two) where the Subscriber is in the EEA and no adequacy decision covers the transfer, or (c) an adequacy decision or the UK-US data bridge where the recipient is certified. Count will encrypt content in transit and at rest, use reasonable legal means to challenge unlawful or disproportionate government access requests, and tell the Subscriber of any request unless the law prohibits it.

4. What the Subscriber will do

The Subscriber will have a lawful basis for the personal data it captures, give any notices needed, give lawful instructions, and not submit sensitive personal data.

Count Canvas Plugin Supplement

For people who use the Plugin through their organisation’s paid Count Canvas workspace

This supplement covers the Count plugin for AI assistants (the “Plugin”) when you use it through your organisation’s paid Count Canvas workspace. It adds to your organisation’s agreement with Count, together with any data processing agreement or annex under it (the “Customer Agreement”). If you pay for the Plugin yourself, the Plugin Business Terms apply. If you use the Plugin for free, the Plugin Terms apply.

1. How this fits with your agreement

The Plugin is part of your Count services. Using the Plugin from your workspace is use of the services under the Customer Agreement. Your Plugin content is your organisation’s content, and any personal data in it is covered by the Customer Agreement’s data processing terms. Your organisation is the controller and Count is the processor.

If the documents disagree, the Customer Agreement comes first, then this supplement. Nothing here reduces what the Customer Agreement says about confidentiality, security, data protection, liability or indemnity. Where the Customer Agreement says nothing about a Plugin-specific matter, such as capture or reasoning, this supplement fills the gap.

2. How the Plugin works

What it does. The Plugin runs inside third party AI assistants, currently Claude. While capture is on, it records the prompts, tool activity and responses from assistant sessions on the user’s device, along with anything in them (“Plugin content”). Capture is off by default. Plugin content leaves the device only if reasoning is on, when it is uploaded to our servers and sent to our review providers to produce reviews. Reviews are AI-generated and can be wrong. Users can pause reasoning for an hour, until tomorrow, or until they turn it back on. While reasoning is paused, content is not recorded on the device.

Early access. The Plugin is in early access, so it’s provided “as is” and may change. We may pause or withdraw it. None of that changes how we handle content already uploaded.

Licence and updates. Your organisation may use the Plugin for its internal business purposes, as the Customer Agreement allows. We may release updates, which users install themselves, and we may require an update to keep using the Plugin (for example, for security or compatibility). Users can uninstall the Plugin at any time.

Your AI assistant. The Plugin runs inside AI assistants provided by other companies, under your own agreement with them. We don’t control those assistants and aren’t responsible for their availability, changes or how they handle sessions. We may add support for other assistants, and this supplement applies to them. We may stop supporting an assistant, and will tell you if we do.

3. Your content

We process Plugin content only to provide the Plugin and reviews to your organisation, and only on your organisation’s documented instructions. We don’t use it to train or improve AI models, or for any other purpose of our own, and we don’t let anyone else. Count staff look at it only for support or bug fixing your organisation has asked for. The usage data we collect about the Plugin doesn’t include Plugin content.

4. Turning it on

Capture and reasoning are off by default. A workspace admin chooses whether to turn the Plugin and reasoning on for the workspace. Turning reasoning on is your organisation’s instruction to us to process Plugin content to provide reviews, as described in this supplement, under your organisation’s data processing terms.

5. Sub-processors

For Plugin content we use only sub-processors that the Customer Agreement authorises. We follow the notice, consent and objection process in that agreement before adding or replacing one, whichever applies to your organisation. We don’t send Plugin content to an AI provider that the Customer Agreement doesn’t authorise. The sub-processors used for the Plugin are listed at trust.count.co/subprocessors.

6. Where it’s processed

Count runs separate EU and US regions, and the Plugin uses the region of the Count account you’re signed in to. Plugin content is stored and processed only in the region that applies to your organisation’s workspace under the Customer Agreement (the EU unless the Customer Agreement or order form says otherwise). To make sure of that, the Plugin only uploads content when you’re signed in to a Count account in that region. We don’t move Plugin content outside the permitted regions except as the Customer Agreement allows, with the safeguards it requires.

7. Security, incidents, audit and deletion

The Plugin is within the scope of the security measures, incident notification periods, audit rights and return-or-delete terms in the Customer Agreement, including their deadlines. If your organisation wants uploaded Plugin content deleted before the Customer Agreement ends, a workspace admin has to ask us, and we’ll delete it within 30 days. Otherwise it is deleted as the Customer Agreement provides on termination.

8. Using the Plugin responsibly

Please only capture information you’re allowed to share with us and our providers, and don’t capture sensitive personal data, such as health data, other special category data, payment card numbers, government identifiers, passwords, API keys or other secrets. Pause reasoning before any session involving information you’re not permitted to share, and follow any workspace policy on capture and reasoning.

9. Who accepts, and liability

Who accepts. A workspace admin accepts this supplement for the organisation, confirming that they are authorised to do so. Individual users acknowledge it when they install the Plugin. We’re a controller only for account details and Plugin usage data (see the Privacy Notice).

Liability and governing law. Our liability for the Plugin, and the governing law, are as set out in the Customer Agreement.
